1. AGREEMENT TO TERMS

These Administrator website Terms of Service (“Terms”) constitute a legally binding agreement between you, as an individual authorized user (“you”), and AidKit, Inc. (“AidKit,” “we,” “us,” or “our”) governing your access to and use of the AidKit Administrator Site and related platform functionality (the “Admin Site”). The Admin Site is made available to authorized users, including authorized representatives of AidKit Clients, government partners, nonprofit partners, other approved organizations and AidKit’s own authorized personnel for managing aid and relief programs (the “Program”).

Scope. These Terms apply only to the Admin Site. They do not govern AidKit’s public-facing website or participant-facing Program sites, each of which may be governed by separate terms, notices, and policies. The Admin Site is an internal staff and administrator interface used to manage Program operations, including record review, user and permission management, payments administration, reporting, compliance, and related operational tasks. Access to specific data and functionality within the Admin Site varies based on your assigned role and the permissions granted by your organization’s designated administrator or by AidKit.

Acceptance. By accessing or using the Admin Site, you acknowledge that you have read these Terms, that you are an authorized user, and that you agree to be bound by these Terms. Your use of the Admin Site is subject to these Terms, the applicable Client Agreement, and any applicable Program or security requirements. If you are not authorized to use the Admin Site, or if you do not agree to these Terms, do not access or use it.

2. RELATIONSHIP TO CLIENT AGREEMENT

Your organization’s access to the Admin Site is governed by an executed master services agreement, Client-provided contract, Program agreement, statement of work, or other legally binding written agreement between AidKit and your organization or the sponsoring Program entity (the “Client Agreement”). A Client Agreement is always required prior to access being granted.

These Terms bind you as an individual user of the Admin Site. As between AidKit and the Client organization, the Client Agreement controls in the event of a conflict.

Data use, permitted purposes, and data protection obligations applicable to any given Program are governed by the applicable Client Agreement. Depending on the Program structure, those obligations may be set out in AidKit’s Master Services Agreement, a Client-provided contract, or Program-specific terms. Where a third party has been granted access to Program data at the Client’s direction, a separately executed Data Use Agreement (“DUA”) may also apply and will control with respect to that third party’s data use and permitted purposes. These Terms do not override or expand any obligations set out in the Client Agreement or any applicable DUA.

These Terms do not replace, amend, or expand the commercial, payment, implementation, service level, data protection, or other contractual obligations set out in the Client Agreement. Those matters are governed exclusively by the applicable Client Agreement and, where applicable, any executed DUA.

3. AUTHORIZED USERS

You may access and use the Admin Site only if:

Your access is limited to the permissions, data, and functionality assigned to your role. You must not attempt to access data, records, or functionality beyond your assigned permissions, even if a technical pathway to do so exists.

You must not allow any other person to use your credentials or access the Admin Site through your account.

4. PRIVACY, PROGRAM DATA, AND ROLES

AidKit’s Privacy Policy explains that AidKit generally acts as controller for the public-facing website and generally acts as processor/service provider when operating Programs on behalf of Clients. This distinction is material to your use of the Admin Site: when you access participant, applicant, case, payment, or Program data through the Admin Site, you are doing so as an authorized user under the Client’s data governance framework, not as an independent data controller. For administrator use of the Admin Site, AidKit processes Program data in accordance with the applicable Client’s instructions, except as necessary to maintain security, prevent fraud, comply with law, enforce legal rights, or protect the integrity of the platform.

AidKit grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Admin Site solely for authorized internal Program administration and only in accordance with:

8. CONFIDENTIALITY AND DATA HANDLING

Program data, applicant data, participant data, payment data, security logs, credentials, platform configurations, implementation materials, internal documentation, and non-public functionality are confidential or restricted information. AidKit’s retention and data management policy classifies customer data, personally identifiable information, authentication credentials, and source code as confidential, and other internal information as restricted. It also requires need-to-know access controls and prohibits unauthenticated or anonymous access to confidential and restricted systems.

Where your role provides access to PII — including names, contact information, government-issued identification numbers, financial data, or payment records — you are subject to the following additional obligations:

9. MONITORING, AUDIT, AND SECURITY

AidKit may monitor use of the Admin Site for security, fraud prevention, troubleshooting, audit, compliance, performance, and enforcement purposes. You acknowledge that access logs, role changes, exports, edits, submissions, and other administrative actions may be recorded and reviewed. You have no expectation of privacy with respect to your use of the Admin Site or any actions taken within it.

AidKit may suspend, limit, or terminate access immediately if we reasonably believe there is unauthorized access, misuse, fraud, security risk, legal risk, or a violation of these Terms, applicable Client Agreement, any applicable DUA, or applicable law.

10. INTELLECTUAL PROPERTY

Unless otherwise indicated, the Admin Site and all related software, interfaces, workflows, code, databases, designs, text, graphics, reports, documentation, trademarks, service marks, logos, and other materials made available by AidKit are owned by AidKit or its licensors and are protected by law.

Except for the limited access right expressly granted in these Terms, no license or right is granted to you by implication, estoppel, or otherwise.

11. COOKIES AND TECHNICAL DATA

Your use of the Admin Site is also subject to any applicable Privacy Policy, Program notice, security notice, or Client-specific privacy notice presented through the Admin Site or otherwise made applicable to the Program.

AidKit generally processes Program data in the Admin Site as a processor or service provider under Client instructions, except as necessary to maintain security, prevent fraud, comply with law, enforce legal rights, or protect the integrity of the platform.

The Admin Site may use strictly necessary cookies and similar technologies required for authentication, security, login persistence, consent capture, and core functionality. No third-party cookies are used within the Admin Site. Cookie preferences available on the public-facing Site do not apply to the Admin Site.

12. AVAILABILITY AND CHANGES

AidKit may change, modify, suspend, restrict, or discontinue all or part of the Admin Site at any time and for any reason, without notice where permitted by law.

We do not guarantee uninterrupted availability of the Admin Site. The Admin Site may experience downtime due to hardware, software, security, maintenance, or other operational issues. To the fullest extent permitted by law, AidKit is not liable for any loss, damage, or inconvenience caused by your inability to access or use the Admin Site during any downtime, suspension, or discontinuance, except to the extent expressly provided in an applicable Service Level Agreement executed as part of the Client Agreement.

AidKit may also update these Terms from time to time by posting revised Terms in or through the Admin Site and updating the effective date. Your continued access to or use of the Admin Site after revised Terms are posted will be governed by the revised Terms to the fullest extent permitted by applicable law, the applicable Client Agreement, and any applicable order-of-precedence provisions.

Nothing in these Terms limits AidKit’s obligations regarding personal information as described in any applicable Privacy Policy.

13. DISCLAIMER

THE ADMIN SITE IS PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. YOUR USE OF THE ADMIN SITE IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, AIDKIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

AIDKIT DOES NOT WARRANT THAT THE ADMIN SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. AIDKIT DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY CONTENT, DATA, REPORTS, OR MATERIALS MADE AVAILABLE THROUGH THE ADMIN SITE, EXCEPT AS EXPRESSLY REQUIRED BY APPLICABLE LAW OR A SEPARATE CLIENT AGREEMENT.

NOTHING IN THIS SECTION LIMITS ANY EXPRESS OBLIGATIONS OR COMMITMENTS SET OUT IN ANY APPLICABLE CLIENT AGREEMENT OR APPLICABLE SERVICE LEVEL AGREEMENT.

NOTHING IN THIS SECTION LIMITS AIDKIT’S OBLIGATIONS WITH RESPECT TO PERSONAL INFORMATION AS DESCRIBED IN ANY APPLICABLE PRIVACY POLICY.

14. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, AIDKIT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, USE, OR DATA, ARISING OUT OF OR RELATING TO THE ADMIN SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, NOTHING IN THESE TERMS EXPANDS AIDKIT’S LIABILITY BEYOND THE LIABILITY ALLOCATION SET OUT IN THE APPLICABLE CLIENT AGREEMENT. THE LIABILITY CAPS, EXCLUSIONS, AND CARVE-OUTS APPLICABLE TO THE PARTIES’ RELATIONSHIP ARE GOVERNED BY THE CLIENT AGREEMENT AND ANY APPLICABLE STATEMENT OF WORK.

NOTHING IN THIS SECTION LIMITS LIABILITY THAT CANNOT BE EXCLUDED BY APPLICABLE LAW, INCLUDING LIABILITY FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

15. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless AidKit and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against third-party claims, losses, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, to the extent arising out of your unauthorized access, unlawful use, intentional misconduct, misuse of Program data, breach of your confidentiality or PII handling obligations under the Confidentiality and Data Handling Section, or breach of these Terms.

This indemnification obligation is personal to you as an individual user and is independent of any indemnification obligations your organization may owe AidKit under the Client Agreement.

16. GOVERNING LAW AND DISPUTE RESOLUTION

Governing Law

These Terms shall be governed by the laws of the State of Colorado, without regard to conflict of law principles.

Informal Resolution

Before filing any claim, either party shall provide the other with written notice describing the dispute in reasonable detail. The parties will attempt in good faith to resolve the matter informally for 30 days from the date of that notice. If the dispute is not resolved within that period, either party may proceed as provided below.

Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of the Admin Site that involves AidKit and the client organization shall be resolved in accordance with the dispute resolution provisions of the applicable Client Agreement. Disputes between AidKit and you as an individual user, to the extent not governed by the Client Agreement, shall be resolved exclusively in the state or federal courts located in Denver, Colorado, and each party irrevocably submits to the personal jurisdiction and venue of those courts.

Equitable Relief

Notwithstanding the foregoing, AidKit may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, security posture, or other proprietary rights.

Severability

If any portion of this Section is found to be illegal or unenforceable, the invalid or unenforceable portion shall be severed, and the remaining provisions of this Section shall remain in full force and effect.

17. TERMINATION

These Terms remain in effect while you access or use the Admin Site. AidKit may suspend or terminate your access at any time for security, legal, operational, or contractual reasons, including the end of your authorization by the Client or sponsoring organization. AidKit may also suspend, limit, or terminate access to the Admin Site at the request of the applicable Client or sponsoring organization.

Upon termination or suspension of your access for any reason, your obligations under the Sections Prohibited Activities, Confidentiality and Data Handling, and Indemnification survive and remain in full force and effect.

18. MISCELLANEOUS

These Terms are supplemental use rules governing authorized user access to the Admin Site. They do not replace, amend, or supersede the applicable Client Agreement, Statement of Work, or other incorporated Program documents, or, where applicable, any executed Data Use Agreement. In the event of a conflict, the applicable Client Agreement and related governing documents control in accordance with their order-of-precedence provisions.

These Terms bind you as an individual user. Your organization’s obligations to AidKit are governed by the applicable Client Agreement. A breach of these Terms by you as an individual does not automatically constitute a breach of the Client Agreement by your organization, and vice versa, though AidKit reserves all rights under both.

No waiver by AidKit of any right or provision of these Terms shall be deemed a further or continuing waiver of that or any other right or provision.

You may not assign or transfer any rights or obligations under these Terms without AidKit’s prior written consent. AidKit may assign these Terms or any of its rights or obligations under them as permitted under the applicable Client Agreement or other governing documents.

Nothing in these Terms creates a joint venture, partnership, employment, fiduciary, or agency relationship between you and AidKit.

If any provision of these Terms, other than the Governing Law and Dispute Resolution Section, is found to be unlawful, void, or unenforceable, that provision shall be severed and shall not affect the validity or enforceability of the remaining provisions.
